Please read these terms carefully before using EventFlow Institutional.

1. Acceptance of Terms

By accessing and using EventFlow Institutional ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using this Platform's particular services, you shall be subject to any posted guidelines or rules applicable to such services.

2. Description of Service

EventFlow Institutional provides derivatives intelligence and analytics services for equity traders. The Platform analyzes options, futures, and fixed income data to generate equity signals and predictions.

We are not a registered investment advisor, broker-dealer, or financial planner. The information provided should not be construed as investment advice, financial advice, trading advice, or any other sort of advice.

3. User Accounts

To access certain features of the Platform, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover or suspect any security breaches
  • Take responsibility for all activities that occur under your account

4. Subscription and Payment

The Platform operates on a subscription basis. By subscribing, you agree to:

  • Pay all subscription fees associated with your account
  • Authorize us to charge your chosen payment method
  • Understand that subscriptions automatically renew unless canceled
  • Accept that fees are non-refundable except as required by law

5. Free Trial

We may offer a free trial period. After the trial period expires, you will be charged the applicable subscription fee unless you cancel before the trial ends.

6. Cancellation and Termination

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We reserve the right to suspend or terminate your account for violation of these terms.

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by EventFlow Institutional and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. User Content

You retain ownership of any content you submit to the Platform. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the Platform.

9. Prohibited Uses

You agree not to use the Platform:

  • For any unlawful purpose
  • To solicit others to perform or participate in unlawful acts
  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability
  • To submit false or misleading information
  • To upload or transmit viruses or any other type of malicious code
  • To collect or track the personal information of others
  • For any obscene or immoral purpose
  • To interfere with or circumvent the security features of the Platform

10. Limitation of Liability

IN NO EVENT SHALL EVENTFLOW INSTITUTIONAL, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
  • ANY CONTENT OBTAINED FROM THE PLATFORM
  • UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EVENTFLOW INSTITUTIONAL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

12. Investment Risk Disclaimer

TRADING AND INVESTING IN FINANCIAL MARKETS INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR EVERY INVESTOR. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. THE SIGNALS AND ANALYSIS PROVIDED BY THE PLATFORM ARE BASED ON HISTORICAL DATA AND PROBABILISTIC MODELS, AND THERE IS NO GUARANTEE OF FUTURE PERFORMANCE.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
